The two main factors for piercing the corporate veil are 1) whether the owners of a business entity follow the formalities and legal requirements for the particular entity, and 2) whether the entity is undercapitalized. Without representation it is difficult to meet these requirements.  Corporations and LLCs need to be set up properly from their inception to avoid personal liability. In addition, entity formalities need to be maintained throughout their existence. We assist both new businesses and existing businesses with their business entity needs.  

Commercial and Residential Real Estate Transactions
